Guide to Doing Business
in Suriname

The sole proprietorship

Even though the sole proprietorship is one of the most popular forms to do business in Suriname, it is not explicitly regulated by the laws of Suriname. The sole proprietorship is not a legal entity. Sole proprietorship however requires registration at the Trade Register except for agriculture, fishery and hunting activities not performed in legal entity form.

With a sole proprietorship there is no distinction made between private property and business property. The owner of a sole proprietorship is therefore personally liable for business obligations and business creditors can seek recovery for debts from his private property.
